1. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.

You agree to provide accurate and complete information when creating an account and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us immediately of any unauthorized use or suspected security breach.

2. Description of the Service

Subres provides software tools designed to help users identify, track, and understand recurring subscriptions by analyzing emails, receipts, and related data using automated systems and artificial intelligence.

3. No Financial or Professional Advice

Information presented within Subres is provided for general informational purposes only.

Subres does not provide financial, investment, legal, tax, or accounting advice and does not recommend financial decisions. Any insights, spending analysis, subscription suggestions, or optimization ideas are estimates generated by automated systems.

You remain solely responsible for verifying information and making financial decisions.

4. Artificial Intelligence and Accuracy Disclaimer

Subres uses artificial intelligence and automated processing to filter, sort, and categorize emails and subscription related information.

Because AI based processing is probabilistic:

• •Results may be incomplete, delayed, outdated, or inaccurate
• •Subscriptions may be missed or misclassified
• •Billing amounts and renewal dates may differ from actual merchant records

4A. Automated Processing and Non Reliance

You acknowledge and agree that Subres relies on automated systems, probabilistic models, and artificial intelligence technologies to analyze emails and generate outputs.

Outputs generated by the Service may include classifications, predictions, summaries, cost estimates, subscription detections, or other automated insights.

You understand and agree that:

• •Automated outputs are informational only.
• •Outputs may contain errors, omissions, or incorrect assumptions.
• •Subres does not verify or guarantee the accuracy of merchant data, billing details, pricing, or renewal dates.
• •The Service does not interpret full financial context and may misidentify or fail to detect certain subscriptions.

You agree not to rely solely on automated outputs when making financial, legal, or contractual decisions.

You assume full responsibility for independently reviewing and confirming any information before acting upon it.

4B. No Monitoring or Fiduciary Relationship

Subres does not monitor your finances, accounts, or subscriptions in real time and does not assume any duty to notify you of billing events, renewals, or financial risks.

Use of the Service does not create any fiduciary, advisory, agency, partnership, or financial management relationship between you and Winker Ventures LLC.

5. Gmail and Email Access

If you connect a Google account, you grant Subres limited and revocable access to read only Gmail data solely for the purpose of identifying subscription related communications.

Subres cannot send emails, modify messages, or perform actions within your mailbox.

You may revoke access at any time through your account settings or through your Google security permissions.

6. User Responsibilities and Prohibited Conduct

You agree not to:

• •Use the Service for unlawful purposes
• •Attempt unauthorized access to systems or data
• •Reverse engineer, copy, or exploit the Service
• •Interfere with platform functionality or security
• •Use the Service to monitor individuals without consent
• •Share account credentials with unauthorized parties

Violation of this section may result in suspension or termination.

7. Subscription Plans, Billing, and Payments

Subres may offer free and paid plans. Paid subscriptions renew automatically according to the billing cycle you select.

You authorize us to charge your payment method for applicable fees and taxes. If payment fails, we may suspend access to paid features.

Unless required by law, fees are non refundable once billed for a period already started.

You may cancel your plan at any time through account settings. Cancellation becomes effective at the end of the current billing cycle.

8. Family and Team Sharing

Certain plans may allow sharing access with additional members. You acknowledge that shared users may view subscription insights and data.

You are responsible for the actions of anyone granted access through your account. Subres is not responsible for disputes between users or shared members.

9. Intellectual Property Rights

The Service, including software, algorithms, design, trademarks, and content, is owned by Winker Ventures LLC and protected by intellectual property laws.

We grant you a limited, non exclusive, non transferable, revocable license to use the Service for personal or internal business purposes. You may not copy, distribute, modify, or create derivative works without written permission.

10. Third Party Services

Subres integrates with third party providers such as Google, payment processors, and cloud hosting services. We are not responsible for availability, reliability, or actions of third party platforms.

Your use of third party services is governed by their respective terms and policies.

11. Disclaimer of Warranties

12. Limitation of Liability

To the maximum extent permitted by law, Winker Ventures LLC and its officers, employees, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or financial losses.

Our total liability shall not exceed the greater of one hundred US dollars (100 USD) or the total amount you paid to us during the twelve months preceding the claim.

12A. Assumption of Risk Related to Automated Analysis

By using the Service, you acknowledge that automated email analysis involves inherent risks including incomplete detection, delayed processing, or inaccurate categorization.

You voluntarily assume all risks associated with relying on automated outputs, including any financial consequences resulting from missed subscriptions, incorrect categorizations, or delayed notifications.

To the fullest extent permitted by law, you agree that Winker Ventures LLC shall not be responsible for losses resulting from:

• •Failure to detect a subscription or charge
• •Incorrect classification of an email or transaction
• •Reliance on AI generated insights
• •Decisions made based on automated recommendations or estimates

12B. No Duty to Detect or Prevent Financial Loss

Subres is not designed to prevent financial loss, fraud, or unwanted subscriptions. We do not guarantee detection of all recurring charges or billing activity.

You acknowledge that the Service is a software tool that assists with organization and visibility only and does not replace independent review of your accounts.

13. Indemnification

You agree to indemnify and hold harmless Winker Ventures LLC and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Service, violation of these Terms, or violation of any law or third party rights.

14. Dispute Resolution and Arbitration

Before filing a legal claim, you agree to contact support@subres.io and attempt informal resolution for at least 30 days.

Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

Arbitration shall be conducted by a single arbitrator in the State of Delaware or remotely by video conference.

You agree that disputes will be handled individually and waive the right to participate in class actions or representative proceedings.

You may opt out of arbitration by providing written notice within 30 days of first accepting these Terms.

15. Termination

We may suspend or terminate accounts at any time for violation of these Terms, unlawful activity, abuse of the platform, or security concerns.

Upon termination, your right to use the Service ends immediately. Sections relating to liability, indemnification, and intellectual property survive termination.

16. Changes to These Terms

We may modify these Terms at any time. Updated Terms will be posted on this page. Continued use of the Service after changes become effective constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought in courts located in Delaware.

18. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Subres.

If any provision is found unenforceable, the remaining provisions remain valid. Failure to enforce any right is not a waiver of that right.
